Terms of Service

Please read these Terms of Service carefully before engaging CDL Software House ("we", "our", or "us") for any services or using our website. By accessing our site or entering into a service agreement with us, you agree to be bound by these terms.

1. Services

CDL Software House provides custom software development, web application development, business automation, API integrations, and related technology services. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate project agreement or statement of work.

2. Agreements & Project Scope

All work performed by CDL Software House is governed by a project agreement signed by both parties. That agreement takes precedence over these Terms of Service in the event of a conflict. Changes to an agreed scope must be documented in a written change order before work begins.

3. Payment Terms

  • Invoices are due within the timeframe specified in your project agreement (typically 7–14 days from issue date).
  • We reserve the right to pause or suspend work on overdue accounts.
  • All fees are non-refundable unless explicitly stated otherwise in the project agreement.
  • Prices are quoted in the currency specified in your agreement and are exclusive of applicable taxes.

4. Intellectual Property

Client Materials

You retain ownership of all content, data, and materials you provide to us. By providing these materials, you grant us a limited licence to use them solely to deliver the agreed services.

Deliverables

Upon receipt of full payment, ownership of the custom deliverables specified in your project agreement transfers to you. We retain the right to use general methodologies, tools, and frameworks developed independently of your project.

Third-Party Components

Deliverables may include open-source libraries or third-party components subject to their own licences. We will disclose any such components and it is your responsibility to comply with their respective licence terms.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

6. Warranties & Representations

We warrant that our services will be performed in a professional manner consistent with industry standards. We do not warrant that deliverables will be error-free or uninterrupted. Any defects reported within the warranty period specified in your project agreement will be corrected at no additional charge.

7. Limitation of Liability

To the fullest extent permitted by law, CDL Software House's total liability for any claim arising out of or related to our services shall not exceed the total fees paid by you for the relevant project. We are not liable for indirect, incidental, consequential, or punitive damages of any kind.

8. Acceptable Use

You agree not to use our website or services to:

  • Engage in any unlawful or fraudulent activity
  • Transmit malicious code or attempt to compromise our systems
  • Infringe the intellectual property rights of any third party
  • Harass, threaten, or harm any individual or organisation

9. Termination

Either party may terminate a project agreement with written notice as specified therein. Upon termination, you are responsible for fees for all work completed up to the termination date. We will deliver all completed work to you upon receipt of final payment.

10. Governing Law

These Terms of Service are governed by the laws of Pakistan. Any disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to the exclusive jurisdiction of the courts of Pakistan.

11. Changes to These Terms

We may update these Terms of Service at any time. The "Last updated" date at the top reflects the most recent revision. Continued use of our website or services after changes are posted constitutes your acceptance of the revised terms.
